Acceptance of these Terms

These Terms and Conditions ("Terms") govern your use of the NexPro app and NexPro Admin console (the "Service"), operated by Nexus Digital ("NexPro", "we", "us", "our"). By checking "I agree" at sign-in or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Accounts

Most accounts on NexPro (Organization Admin, Branch User, Technician, Salesperson) are created for you by your organization or by Nexus staff, not through self-service sign-up. Customer accounts are created automatically when a warranty is purchased on your behalf, using the email address supplied at purchase. You are responsible for keeping your login email accurate and for any activity that occurs under your account. Sign-in uses a one-time passcode emailed to your registered address (or, for admin roles, a password plus two-factor authentication) — never a code sent by SMS.

Acceptable use

When using the Service, you agree not to:

• Provide false information about a business, a customer, or a warranty transaction.
• Attempt to access accounts, organizations, or data that are not yours.
• Interfere with, reverse-engineer, or attempt to disrupt the Service.
• Use the Service for any unlawful purpose.

Warranty coverage is separate from these Terms

These Terms govern your use of the app itself. They are not the warranty contract. The actual coverage, duration, exclusions, and claim process for any warranty plan you purchase or are issued are set out in that warranty's own certificate and rate card, issued at the time of purchase — always refer to your warranty certificate for coverage terms.

Payments and commissions

Dealer organizations and salespeople earn commission on warranty sales under the commercial terms agreed with Nexus separately from this app. The Service does not process card payments; where a payment is made directly to Nexus, it is a manual bank transfer and you are responsible for uploading accurate proof of that payment. Commission payouts are made to the bank details you provide, and it is your responsibility to keep those details accurate and up to date.

Intellectual property

The NexPro name, logo, and app are the property of Nexus Digital. You may not copy, modify, or redistribute any part of the Service outside of normal use of your account.

Third-party services

The Service relies on third-party providers to function — Resend for email delivery, Cloudflare R2 for file storage, and Google Firebase for push notifications. Their use of your information is described in our Privacy Policy.

Suspension and termination

We may suspend or deactivate an account that violates these Terms, is inactive for an extended period, or where required by law. An organization may also request deactivation of its own staff accounts at any time.

Disclaimer and limitation of liability

The Service is provided "as is." To the maximum extent permitted by law, NexPro is not liable for indirect, incidental, or consequential damages arising from use of the Service. Nothing in these Terms limits liability that cannot be excluded under applicable law.

Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India.

Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will ask you to re-confirm your acceptance the next time you sign in.
